Subscription Agreement Terms

The Subscription Agreement Terms set out by Surch Foods Inc. outline the expectations, responsibilities, and guidelines for all suppliers using our platform. These terms ensure a transparent, professional, and trustworthy experience for both suppliers and buyers, supporting fair business practices, product accuracy, and service reliability. By joining Surch Foods, suppliers agree to uphold the integrity of their listings, communicate honestly, and comply with all applicable regulations-helping us build a platform rooted in trust and industry excellence.

Effective Date: January 30, 2026

1. Subscriber Responsibilities

You agree to:

  • Provide accurate, current, and complete business, professional, and contact information
  • Truthfully represent your products, services, certifications, experience, and capabilities
  • Respond to inquiries, messages, and requests in a timely and professional manner
  • Maintain all licenses, registrations, certifications, insurance, and regulatory approvals required for your business or professional activities
  • Comply with all applicable laws, regulations, and industry standards

Suppliers are responsible for the accuracy and compliance of all product-related information.
Experts and consultants are responsible for the accuracy of all professional claims, credentials, and services offered.

2. Content and Listings

All content you submit to the Platform, including text, images, documents, certifications, testimonials, client logos, and other materials (“Content”), must be your original work or used with proper authorization.

By submitting Content, you grant Surch Foods a non-exclusive, royalty-free, worldwide license to host, display, reproduce, distribute, and use such Content on the Platform and in Surch Foods marketing, promotional, and educational materials.

You remain solely responsible for the legality, accuracy, and ownership of your Content.

3. Verification and Badges

Surch Foods may request documentation or information to verify your identity, credentials, certifications, or compliance. Participation in any verification process, or the display of “Verified” or similar badges, does not constitute endorsement, warranty, or guarantee by Surch Foods of your products, services, or representations.

Verification indicators are informational only and do not replace independent due diligence by other users.

4. Subscription Fees and Billing

Subscription access is subject to the pricing and plan details displayed at the time of purchase.

  • Subscription fees may apply to Suppliers and Experts/Consultants depending on the selected plan
  • Optional promotional features, upgrades, or add-on services may incur additional charges
  • All fees are disclosed prior to purchase

Unless otherwise stated, subscription fees are non-refundable. You are responsible for all applicable taxes associated with your subscription.

5. Prohibited Conduct

Subscribers must not:

  • Provide false, misleading, or deceptive information
  • Misrepresent products, services, certifications, credentials, or affiliations
  • Engage in spam, fraudulent activity, or deceptive advertising
  • Use the Platform to promote illegal, unsafe, or non-compliant products or services
  • Infringe on intellectual property or third-party rights
  • Attempt to circumvent subscription fees or platform safeguards
  • Use the platform for illegal purposes

Definition of a Non-Compliant Product

A non-compliant product is any food, ingredient, packaging material, or related item that:

  • Fails to meet applicable regulatory requirements (e.g., CFIA, FDA, EU regulations)
  • Deviates from agreed customer or contractual specifications
  • Lacks required traceability or documentation
  • Is contaminated, adulterated, tampered with, or compromised in safety or integrity

6. Limitation of Liability

Surch Foods provides a discovery and connection platform only and is not responsible or liable for:

  • Interactions, communications, or transactions between users
  • Product quality, safety, compliance, delivery, or performance
  • Professional services provided by experts or consultants
  • Business losses, disputes, or disruptions

You assume full responsibility for your business and professional activities conducted on or resulting from use of the Platform.

7. Termination

Surch Foods may suspend or terminate your subscription or access to the Platform at its discretion for:

  • Breach of this Agreement
  • Misuse of the Platform
  • Legal or regulatory violations
  • Conduct that causes reputational harm to Surch Foods or its users

You may terminate your subscription at any time. Any outstanding payment obligations or accrued liabilities will survive termination.

8. Confidentiality

You agree not to disclose confidential Platform information, internal communications, private messages, or user data obtained through Surch Foods, except as required by law or with proper authorization.

9. Modifications to the Agreement

Surch Foods may update this Agreement from time to time. Any changes will be effective upon posting to the Website. Your continued access to or use of the Website after changes are posted constitutes acceptance of the revised Terms.

You acknowledge that this Agreement may be updated since your last use of the Website and agree that it is your responsibility to review the current version of the Agreement each time you access or use the Website. Surch Foods is not obligated to provide individual notice of changes to this Agreement, unless required by law.

10. Governing Law

This Agreement is governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any disputes shall be resolved by confidential binding arbitration in Ontario.
